These Terms & Conditions ("Terms") govern your access to and use of Kandorly, a 360-degree feedback service ("Kandorly", the "Service"), operated by the Kandorly team ("we", "us", "our"). Kandorly is currently in pre-launch; our full legal seller details will be published here before checkout is enabled. By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
These Terms form a binding agreement between you and us. "You" means the individual or organisation that registers for or uses the Service. If you use the Service on behalf of an organisation, you confirm that you are authorised to accept these Terms on its behalf, and "you" refers to that organisation.
We may update these Terms from time to time, for example to reflect changes in the Service, in the law, or in our business. When we make material changes we will update the "Last updated" date above and, where appropriate, notify you by email or in-app. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
To use the Service you must be at least 18 years old and capable of forming a binding contract. The Service is intended for use by managers and organisations running feedback within a professional context, and is not directed at consumers acting outside a business or professional capacity.
Kandorly lets a manager (the "reviewer's host" or "you") set up a review cycle, invite people to give feedback on a colleague (the "reviewee"), collect their responses, and prepare a summary. Feedback is confidential to the manager, who acts as the trusted mediator: the manager can see the responses and who was invited, and uses them to prepare a summary for the reviewee. A person invited to give feedback (a "reviewer") gives their feedback through a secure link; their name is shared with the reviewee only if they explicitly choose to allow it. You are responsible for using the Service in a way that respects this model and the expectations of the people you invite.
You are responsible for all activity that occurs under your account, for the accuracy of the information you enter, for obtaining any consents or notices required before inviting people to give feedback, and for keeping your login credentials secure. You must notify us promptly at info@kandorly.com if you suspect any unauthorised use of your account.
You agree to use the Service lawfully and not to misuse it. In particular, you must not:
We may suspend or terminate access to the Service if you materially breach these Terms, if required by law, or where necessary to protect the Service or other users. Where practical and lawful we will give you notice first.
To use the Service you create an account. Authentication is provided through our identity provider, and you are responsible for maintaining the confidentiality of your credentials. You may close your account at any time; on closure we will handle your data as described in our Privacy Policy and Data Processing Agreement.
The Service runs on credits. Each feedback request costs two credits - that is, two credits for each person you invite to give feedback on a reviewee. Your first review cycle (up to three feedback requests) is free. After that, you buy credits as you need them.
Credits are purchased as a one-off payment; there is no subscription and nothing recurring. Credits do not expire, are non-transferable, and have no cash value except as required by applicable law. Larger credit packs may include bonus credits and a lower effective cost per feedback request, as shown on our pricing page at the time of purchase. We may change our prices and credit packs from time to time, but changes will not affect credits you have already purchased.
Payments for credits are processed by Paddle.com Market Ltd ("Paddle"), acting as our Merchant of Record and reseller. When you buy credits, your contract for that purchase is with Paddle, and Paddle's buyer terms and privacy policy also apply to the transaction. Paddle handles billing, collects and remits applicable taxes, and issues invoices. Prices are shown in USD and any applicable taxes are calculated at checkout.
Because credits are digital content supplied for immediate use, once you have started to use a credit pack it is treated as consumed to that extent. If you are a consumer in the EU or UK, you have a statutory right to withdraw within 14 days of purchase; by starting to use your credits within that period you acknowledge that you may lose that right for the credits used. Unused credits from a purchase may be refundable at our or Paddle's discretion.
Refund requests are handled by Paddle as Merchant of Record. To request a refund, contact us at info@kandorly.com or use the receipt Paddle sent you. Nothing in this section limits any non-waivable rights you have under applicable consumer law.

In short: for your own account data we act as controller, and for the feedback content you collect we act as processor on your behalf. Privacy is designed into the Service - feedback is confidential to the manager, the reviewee only ever receives the summary the manager prepares, and a reviewer's name is shared with the reviewee only where that reviewer explicitly opts in.
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet every requirement, and you are responsible for how you use the feedback the Service helps you collect, including any employment or personnel decisions.
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service and these Terms will not exceed the greater of the amount you paid us for credits in the twelve months before the event giving rise to the claim, or USD 100.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be limited. You agree to indemnify us against third-party claims arising from your breach of these Terms or your unlawful use of the Service.
The governing law and jurisdiction for these Terms will be confirmed and published here before checkout is enabled, without prejudice to any mandatory rights you have as a consumer in your country of residence.
Kandorly, the Kandorly name and logo, and all content, design, and software that make up this site and the Service are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose; we do not transfer any ownership to you. You may not copy, modify, distribute, or use the Kandorly name, logo, or branding without our prior written permission, except for factual reference to the Service. All rights not expressly granted are reserved.
